These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and GrepVideos ("Company", "we", "our", "us") governing your access to and use of our video infrastructure platform, APIs, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

GrepVideos provides video infrastructure services including but not limited to:

• Live video streaming capabilities
• Video-on-demand (VOD) hosting and delivery
• Video encoding and transcoding
• Encrypted media delivery with DRM support
• Analytics and user tracking
• APIs and SDKs for integration
• Dashboard and management tools

3. Account Registration

3.1 Account Creation

To access certain features of our Services, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain and update your information to keep it current
• Keep your account credentials confidential
• Accept responsibility for all activities under your account

3.2 Account Security

You are responsible for maintaining the security of your account and must immediately notify us of any unauthorized use or security breach.

4. Acceptable Use

You agree not to use our Services to:

• Violate any applicable laws, regulations, or third-party rights
• Distribute illegal, harmful, or objectionable content
• Infringe intellectual property rights of others

• Your Content does not violate any third-party rights
• Your Content complies with all applicable laws

By using our Services, you grant us a non-exclusive, worldwide, royalty-free license to host, store, transmit, and display Your Content solely for the purpose of providing the Services.

5.3 Content Moderation

We reserve the right to remove or disable access to any content that violates these Terms or is otherwise objectionable, at our sole discretion.

6. Fees and Payment

6.1 Pricing

Our Services are provided on a usage-based pricing model. Current pricing starts at $3 per TB for streaming and delivery. Detailed pricing information is available on our website and may be updated from time to time.

6.2 Payment Terms

• Fees are billed monthly based on actual usage
• Payment is due within 30 days of invoice date
• All fees are non-refundable except as stated in our Refund Policy
• We may suspend Services for non-payment

6.3 Taxes

You are responsible for all applicable taxes related to your use of the Services, excluding taxes based on our net income.

7. Service Level Agreement

We strive to maintain 99.9% uptime for our Services. Specific service level commitments and remedies are outlined in our separate Service Level Agreement (SLA) for enterprise customers.

8. Intellectual Property

8.1 Our Intellectual Property

The Services, including all software, technology, trademarks, and content provided by us, are owned by GrepVideos and protected by intellectual property laws. Nothing in these Terms grants you any right to use our intellectual property except as expressly permitted.

8.2 Feedback

If you provide feedback or suggestions about our Services, you grant us the right to use such feedback without any obligation to you.

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information exchanged in connection with the Services. This obligation does not apply to information that is publicly available, independently developed, or lawfully obtained from third parties.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREPVIDEOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless GrepVideos and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Services
• Your Content
• Your violation of these Terms
• Your violation of any third-party rights

13. Term and Termination

13.1 Term

These Terms remain in effect until terminated by either party.

13.2 Termination by You

You may terminate your account at any time by contacting us. Upon termination, you remain responsible for any outstanding fees.

13.3 Termination by Us

We may suspend or terminate your access to the Services immediately if you breach these Terms or for any other reason at our discretion, with or without notice.

13.4 Effect of Termination

Upon termination, your right to use the Services ceases immediately. We may delete Your Content after a reasonable period following termination.

14. Dispute Resolution

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with applicable arbitration rules. You agree to waive any right to a jury trial or to participate in a class action.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

17. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and GrepVideos regarding the Services.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our consent. We may assign these Terms freely.
